These Terms are live. They govern Shorts Foundry services. They are not legal advice to you about your business, and Shorts Foundry / James Bruchey are not your attorney.
By requesting a quote, paying an invoice, or using Shorts Foundry services (“Services”), you (“Client”) agree to these Terms.
Shorts Foundry (“Shorts Foundry,” “we,” “us”) is a done-for-you short-form video service operated by James Bruchey. Soft “powered by Operator Fuel” branding may appear; Operator Fuel kits are a separate product.
We produce short-form video assets (scripts, voiceover, captions, exports for TikTok / YouTube Shorts / Instagram Reels) and related extras as described in your quote or order. Scope is limited to what the quote lists. Out-of-scope work requires a new quote.
You must:
No copyright theft. Long→Short and all edits require client-owned or properly licensed sources.
Human approval before publish is required unless you explicitly authorize posting. We do not silently auto-post. You own delivered files upon payment for that deliverable, subject to these Terms. We may retain working files and portfolio rights to show anonymized/process samples unless your written agreement says otherwise (private samples by default for warm outreach).
Production may use AI tools (voice, scripting, captions, editing assists). AI outputs may be wrong or unnatural. You must review before publish. Third-party platforms (TikTok, YouTube, Instagram, ElevenLabs, etc.) have their own terms; we do not control them.
Prices are as quoted (e.g. Pilot / monthly packs / Long→Short add-on). Payment is due as invoiced. Work may pause if invoices are overdue.
All sales are final. NO REFUNDS on Pilot fees, monthly retainers already billed, or add-ons once production has started or files have been delivered, except where a refund is required by non-waivable law.
Chargebacks: Card networks may still allow disputes. These Terms cannot waive card-network rights. We may contest with delivery and approval records. Contact support@shortsfoundry.com first if something is wrong.
We do not offer a “try then refund” window on creative services once work has begun.
Unless your quote says otherwise: one revision round per short is included. Extra revisions may be billed.
We do not warrant views, followers, virality, revenue, or algorithm outcomes. Delivery reports must not invent metrics.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES AND DELIVERABLES ARE PROVIDED AS IS. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHORTS FOUNDRY AND JAMES BRUCHEY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/GOODWILL. TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED FEES YOU PAID US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
You will defend and indemnify Shorts Foundry and James Bruchey against claims arising from: your source materials; your publishing; your instructions; your violation of law or platform rules; or claims that your content infringes third-party rights.
We will not publicly share your private drafts or unpaid samples without permission. You will not misrepresent our work as solely your in-house production in a way that creates false endorsement claims beyond normal portfolio credit.
Either party may stop future work with written notice; fees for work already performed remain due. We may terminate for nonpayment or material breach.
Governed by the laws of the State of Michigan, United States. Courts in Michigan have exclusive jurisdiction where permitted. Confirm with counsel before relying on venue.
We may update these Terms by posting on shortsfoundry.com. Your quote plus these Terms and Disclaimers are the agreement for Services unless a signed MSA says otherwise.
Engaging us or paying an invoice means you have read these Terms and the Disclaimers and agree to be bound.
